Overview

As Governance professionals we hope you’re taking the lead on ESG matters, placing them with importance high on the board agenda. Boards responses are varied, so what can be done to further challenge this issue? How do shareholders feel about ESG and what helpful tools do we have at our disposal?

Chaired by Victoria Penrice, President of the Chartered Governance Institute UK & Ireland, we also welcome Matt DiGuiseppe, VP of Research and ESG at Diligent on a panel with company secretaries to discuss where ESG stands, the steps taken to implement a diverse board and having the environment at the heart of the company’s culture.

Victoria Penrice, President, The Chartered Governance Institute UK & Ireland

Victoria is President of the UKRIAT Committee and qualified as a chartered secretary over 20 years ago. She has significant experience in listed companies and Victoria has been on the UKRIAT Committee since it was formed in 2014, having originally been elected to the Institute’s Council in 2013.

Matt DiGuiseppe, Vice President of Research and ESG, Diligent

As the VP of Research & ESG at Diligent Corporation, leading provider of secure board communication and governance, risk and compliance software used by over 700,000 corporate leaders globally, I lead the ESG (environmental, social and governance) Center of Excellence and a research team focused on ESG topics. I am also responsible for ensuring that Diligent meets its ESG commitments, including a pledge to achieve net zero carbon emissions by 2040.

Previously, as Head of Americas Asset Stewardship at State Street Global Advisors, my colleagues and I were responsible for developing and implementing SSGA's global proxy voting policies and guidelines across all investment strategies and managing SSGA's proxy voting activities and issuer engagement on material ESG issues. He was also a member of the internal Proxy Review Committee.

I have participated in numerous industry groups and speak frequently on ESG matters. I was also the founding chairperson of the Investor Stewardship Group (ISG), which advanced a set of corporate governance and stewardship principles for the US market that are backed by over 70 members with assets under management in excess of US $32 trillion.
