To provide support to the Group company secretarial team and to assist and work closely with the Group legal, HR, finance, treasury and tax teams.
Statutory filings/Company secretarial work
- Maintenance of the Blueprint Company Secretarial system
- Keeping statutory books/records up to date
- Preparing dormant accounts/minutes
- Assisting with the checking and filing of subsidiary accounts
- Preparing minutes/collating signatures and gathering information concerning directors’ related parties for the annual reporting process
- Undertaking various Companies House filings (e.g. Confirmation Statements, share capital changes, director appointments/resignations, changes of directors’ particulars, changes in accounting reference dates, registered office changes)
- Maintenance of registers relating to persons with significant control and notifying Companies House of any changes
- Preparing and circulating minutes for signature
- Updating UK and overseas company information
- Checking and maintenance of the Group structure and organisation charts
- Maintenance of s793 register
- Assisting with the preparation and release of stock exchange announcements
- Circulation of the annual sealing minutes and directors’ interest reports
- Assisting with adhoc project work as necessary
- Liaising with the website administrators and Investor Relations Manager to ensure the governance sections of the corporate website are updated as necessary
- Assisting with the ‘onboarding’ of new Group companies
