Assistant Company Secretary/Corporate Lawyer

Overview

A renowned chemical engineering company is seeking an Assistant Company Secretary/Corporate Lawyer to join their team in Surrey. Supporting the Company Secretary, the role will see you attending subsidiary board meetings, updating company articles, ensuring statutory compliance and dealing with re-organisations and corporate actions, such as acquisitions and disposals. Ideally, you will be a qualified Solicitor and/or Chartered Secretary with a strong technical background. Individuals who aren’t qualified but have experience in a similar complex role are also welcome to apply.

Key Roles and Responsibilities

  • Assist the Company Secretary, a corporate lawyer, to manage corporate and financial reorganisations and other projects
  • Draft board and shareholder minutes and related documents for the payment of dividends, share capital increases/decreases and other corporate actions
  • Attend and minute subsidiary company board meetings and advise directors on ad hoc issues
  • Ensure that subsidiary companies comply with the Companies Act and relevant regulatory bodies
  • Advise, draft and prepare powers of attorney, declarations and revocations of trusts
  • Project manage and liaise with agents in other jurisdictions on statutory and compliance work

Experience and Qualifications

  • Qualified solicitor or proven, solid, experience in a similar role
  • Strong knowledge of the UK Companies Act 2006
  • Minuting experience
