Company Secretary and Legal Counsel (FTSE listed - Full or Part time)

An international FTSE Smallcap-listed manufacturing organisation is currently seeking a senior company secretarial professional to join the business in this newly created Company Secretary and Legal Counsel position.

This role will sit as part of the leadership team and is responsible for providing the Company with advice and Administrative services in line with the Companies Act 2006 and to lead the in-house legal team and manage outsourced arrangements.

Key responsibilities will include:

  • Provide legal support and advice to the Board and Executive team on relevant legal issues across all group companies
  • Advise the Chairman and the Board on all matters relating to Corporate Governance
  • Manage Board meeting structure to include, AGM Board meeting agenda, minutes, committee structure and work plans
  • Manage the completion of the Annual Report and all associate reporting.
  • Manage all share-related administration working in close partnership with the Head of Reward on SAYE, LTIP’s etc.
  • ​​​​Manage policies reserved for the Board i.e. Bribery and Corruption, Whistleblowing etc.
  • Ensure compliance with internal controls, statutory regulations and other relevant formalities
  • Advise on legal risk in business processes and decision making
  • Manage the drafting of legal documents such as contracts, statements and agreements
  • Keep up with current changes on all relevant areas of law and ensure the professional development and knowledge base of the in-house legal team

Successful candidates will have extensive company secretarial experience, ideally within a listed organisation and will have previously had some legal exposure. You do not need to be a qualified lawyer.
