Assistant Company Secretary - FTSE-100

Overview

A great opportunity to join a FTSE-100 asset management company as Assistant Company Secretary. Reporting to the Group Company Secretary, the role will see you providing diverse company secretarial services to the business and ensuring that the cosec department runs smoothly through the maintenance of effective governance and compliance. More specifically, you will contribute to the improvement of the corporate governance framework, be responsible for the company’s Executive share schemes, work with the team to prepare the Annual Report, prepare the AGM notice and assist with the Group’s liquidation process as appropriate, amongst other things.

Key Roles and Responsibilities

  • Help give an efficient and effective service to the Plc Board, its Committees and subsidiaries
  • Take part in the improvement and streaming of the corporate governance framework and monitoring of best practice
  • Ensure the business complies with all regulatory, legislative and governance best practice
  • Overall responsibility for the Company’s Executive share schemes, including reviewing and amending Executive Share Plans
  • Work alongside the team to prepare the Annual Report, specifically working with the Company Secretary on the drafting of the relevant sections in the Annual Report

Experience and Qualifications

  • CGI qualification is essential
  • Previous experience of working in a listed environment
  • Solid knowledge of, but not limited to, the Companies Act 2006 ad the UK Corporate Governance Code
  • Working knowledge of Diligent Entities/GEMS, Diligent Boardbooks and Microsoft Office Software
