Company Secretarial Assistant - FTSE250

We are a small diligent and dedicated Company Secretarial team keen to bring a Company Secretarial Assistant into the team to perform the responsibilities listed below and develop their skills further.  This is a great opportunity for someone to join a busy team in a well-known and respected FTSE 250 company.

Key responsibilities:

  • Providing support to the Group Company Secretary and Deputy Company Secretary
  • Administering the Company’s share plans using online software, ensuring accurate record keeping, drafting employee documentation, responding to employee enquiries and assisting with preparing and filing annual tax returns
  • Maintaining the Group structure chart
  • Maintaining the statutory books for all UK companies using Diligent Entities and working with the Deputy CoSec to ensure full and timely compliance of all statutory filings
  • Drafting subsidiary company board minutes and shareholder resolutions
  • Assisting with creating and maintaining Insider/Project Lists and maintaining the Company’s share dealing register
  • Assisting with the PLC Annual Report production, including data-finding, verification and proof-reading of the Corporate Governance section
  • Assisting with the organisation of the PLC Annual General Meeting, including assisting with the drafting of the Notice of AGM and proxy forms, and assisting with completing all post-AGM announcements and filings
  • Assisting with the dividend payment process
  • Assisting with submitting relevant FCA and NSM filings as and when required
  • Maintaining with Treasury the Register of Parent Company Guarantees
  • Liaising with the Company’s Registrar and responding to any shareholder enquiries
  • Liaising with the trustees of the Company’s off-shore Employee Benefit Trust
  • Assisting with any ad hoc projects (incorporations, liquidations, acquisitions, disposals etc).

Skills and experience required

  • Likely to be part-qualified Chartered Secretary
  • 2/3 years+ company secretarial experience, preferably including experience within a listed company
  • Solid understanding of the Companies Act 2006, Listing Rules, Disclosure and Transparency Guidance Rules, Market Abuse regime and corporate governance best practice
  • UK subsidiary company compliance
  • Share schemes administration would be an advantage
