Senior Assistant Company Secretary

The Senior Assistant Secretary role is key for the Group. In this role, you will build cross-functional relationships and work frequently with our Sector management and operating company personnel to deliver a first-class Secretariat service.

You will have a proven ability to listen to, win the confidence of, and work with colleagues across the Group – lending your expertise and commercial insight to projects and other matters that arise.

Your responsibilities will include:

  • Support on Annual Report and Preliminary Announcement drafting and proofing, RNS announcements, dividend timetable, corporate governance and Company law aspects
  • Project manage the AGM
  • Critically review, challenge and approve documents for signature by Directors – including statutory accounts, powers of attorney, indemnities, contracts, minutes and resolutions
  • Manage the Group’s UK all-employee share plan and global Executive Share Plan
  • Be responsible for overseeing subsidiary compliance – working closely with the third party compliance provider and ensuring integrity of the information on the Group’s structure
  • Support our Sector and business personnel with their own governance processes and internal procedures
  • Act as the day-to-day contact and manage the relationship with the Registrars, Trustee and Share Plan administrators
  • Support on Defined Benefit Pension matters and attend trustee meetings
  • Support the Deputy Company Secretary and Company Secretary on regular work and ad hoc projects with the aim of managing peaks efficiently and being collaborative as a team

Who You Are

Experience

  • Solid experience working in a UK listed organisation – preferably in a FTSE 100 or 250 international business;           
     
  • Technically competent in Company Law, Listing Rules and corporate governance;
     
  • Proven ability to gain trust and influence senior management
