Senior Company Secretarial Assistant

Top ranked US law firm seek an additional cosec team member for their small team.

You will provide company secretarial support on a wide variety of company secretarial transactions to the London based clients and their multinational clients from other offices.

You will report to the Senior Company Secretarial Manager and also mentor more junior members of the team. A majority of the companies that you will deal with
will be active and fast growing technology focused companies to whom the firm provides legal advice.

SPECIFIC RESPONSIBILITIES
Your main responsibilities will include the following:
Meeting and speaking with clients and understanding their requirements.
Providing advice on Corporate Governance and specialist company secretarial advice and
assistance (compliance by English entities with all aspects of Companies Act 2006 and filing
requirements) to ensure compliance with statutory requirements.
Drafting minutes and resolutions for a wide range of matters including changes to share
capital (re-designation, sub-division, creation of new share classes, reduction of share capital,
etc.), administrative restoration, share-for-share exchange, purchasing of own shares,
declaration of interim and final dividend, etc.
Preparing and filing of all statutory forms, including confirmation statements, minutes of
general meetings and resolutions in connection with routine annual statutory matters.
Assisting with the training and mentorship of junior members of the team and where
appropriate enlisting their help with workflow.
Maintaining statutory books, company registers; electronic filing of shares, appointments,
annual returns
Inputting information for new clients and the incorporation of new companies in the UK and
submission of the requests for incorporation to Companies House.
Preparing Powers of Attorney, agreements and dormant accounts.
Liaising with Companies House and Inland Revenue (stamp duty), with notaries public
(notarisations) and Foreign & Commonwealth Office (apostilles).
Undertaking ad hoc company secretarial projects.
Assisting the wider corporate team with transactional work supplemental to company
secretarial work.
Coordinating with the firm’s international offices and affiliates, to assist large multinational
clients in other offices with their company secretarial needs.
On occasion management, distribution and filing of post for the company secretarial’s team
portfolio.
Assistance with maintenance of the team’s departmental documentation and procedures.
Assistance with the preparation and distribution of invoices and management of the team’s
expenses.
Other Company secretarial responsibilities as may be required.

SKILL REQUIREMENTS
Preference for ICSA qualification to Grad ICSA level.
Knowledge, understanding and experience of company secretarial work (ideally a minimum
of two years), gained either in-house or at a law firm/professional services firm.
Prior comprehensive use of secretarial software (specifically Diligent Entities, previously
called BluePrint) is desired.
Proficient in using a computer with good Microsoft Office (including Excel) skills.
Excellent written and verbal skills.
Flexible attitude with the ability to prioritise a changing to do list.
Ability to build relationships with key stakeholders both internal and external.
A team player with a proactive and responsive attitude.
