Company Secretary

Zurich Insurance Plc is looking to enlarge its corporate governance/company secretarial team in Ireland and is seeking applications from professionals with 3- 5 years’ relevant experience.

The position will be based in Zurich’s offices in the IFSC, Dublin but working on occasion from other locations and supporting other Zurich business in Dublin may also be required.  A flexible approach to incorporate some home working also will be considered. 

This is an opportunity to join the in-house Legal & Company Secretarial team and to work in a stimulating and supportive environment. 

The Zurich Group in Ireland includes regulated legal entities operating significant international insurance businesses.  In addition to a Board of Directors, the main companies have a number of committees and a branch network throughout Europe, managed and controlled from the Dublin headquarters.

Your Role

As a Company Secretary your main responsibilities will include, but not necessarily be limited to, the following:

  • Coordinating, attending, and minuting regular board/committee meetings
  • Providing corporate governance support, including ensuring compliance with the Corporate Governance Code for Insurance Undertakings and other applicable governance requirements
  • Supporting the maintenance of statutory books and records for Irish entities and monitoring compliance with all relevant statutory/regulatory requirements and filing deadlines
  • Arranging for document execution, notarisations, apostilling and filing with relevant registry
  • Dealing with regular day-to-day queries including corporate certificates, AML/KYC and corporate governance information requests
  • Participating in various Zurich cross-functional initiatives and projects

 

Your Skills and Experience

As a Company Secretary your skills and qualifications will include:

  • ICSA qualified or part qualified (the position may suit a qualified lawyer looking to move into a corporate governance/company secretarial role, but a legal qualification is not essential)
  • Experience of financial services industry an advantage
  • Knowledge of Irish company law and familiarity with the Companies Act 2014
  • Organised and demonstrating strong attention to detail
  • Team orientated individual with excellent interpersonal and communication skills
  • Flexible with ability to adapt to new deadlines

Additional Information

Primary work location is IFSC. Position is Dublin-based but occasional travel may be required to other Zurich locations.
