Our client is a regulated company based in the North West, they have recently had some significant board level changes and are expanding their Company Secretarial team. They are seeking someone with experience in a regulated company, ideally with exposure to not-for-profit work to join their team and work with their committees and execs on an advisory basis. This position will be broad and project based.

The role:

  • responsible for development and implementation of practical governance frameworks within the NDA subsidiary companies
  • responsible for development and implementation of procedures to help directors discharge their statutory duties
  • management of annual evaluation of Board effectiveness, where relevant
  • brief NDA subsidiary companies on existing and new legislative, regulatory and governance developments (with particular emphasis on NDPB corporate governance)
  • monitor and advise on developments in corporate governance include UK Corporate Governance Code requirements
  • responsible for management of meeting processes by scheduling meetings, preparation of agenda with Chair/MD, guidance on board paper content, timely delivery of papers, generating and communicating meeting outputs and drafting of minutes
  • ensure effective forward planning
  • responsible and accountable for complete statutory filing at Companies House and ensure company books and other records

Requirements:

  • excellent knowledge of specific areas of law and good governance practice
  • substantial experience of company secretarial and governance work and working with executive and non-executive level stakeholders
  • excellent interpersonal, communication and facilitation skills required to develop and maintain constructive working relationships; ability to advise senior staff effectively
  • excellent oral and written communication skills, with the ability to demonstrate experience in writing accurate and concise minutes, reports and briefings.
  • good knowledge of the principles of best practice in governance and how they apply to both the public sector (preferable) and private sector
