Corporate Governance Assistant

Floreat is a boutique investment group of around 35 people. Floreat works with a select number of private and institutional clients, offering alternative and real asset strategies across a range of asset classes. This individual would support the Corporate Governance Manager to provide governance advice and company secretarial services to Floreat Group companies and affiliated entities. 

Key Responsibilities: 

  • Assist the Corporate Governance Manager with organising the UK company board meetings on a frequent quarterly basis; follow up with investment advisory teams to obtain reports required for board packs; attend where required to assist with minutes and track progress of action items arising out of the board meetings. 
  • Assist the offshore corporate providers with the preparation of the Fund and Manager board packs and other ongoing reporting to the Fund. 
  • Upkeep and maintain statutory files of international companies, including basic company secretarial duties (these may include the drafting of Minutes, Board Resolutions etc.)
  • Assist with all purchase and sale transactions, working closely with the Investment Advisers in preparing for the transaction and coordinating the obtainment and distribution of the signatures on legal documents, as well as subsequent actions to be taken as required. 
  • Support the annual audit process of the UK Investment Advisers and Funds. 
  • Manage the action items register of the UK Companies and Investment Advisers.
  • Manage the KYC onboarding of the Fund structures with third parties. 
  • Assist with the opening of bank accounts and maintain appropriate records of all bank matrix existing and new bank accounts opened. 
  • Identify, establish and document new administrative processes and monitor the effectiveness of these processes periodically with the Corporate Governance Manager. Be the first point of contact for any operational issues. Create and maintain appropriate records and record keeping architecture; extensive file management of fund proposals and assist with the document flow between Floreat and service providers. 
  • Establish strong relationships with investment teams and Non-Executive Directors to ensure completion of deadlines are met and communicate with external third parties to obtain with and/or share information required to complete all above mentioned duties. This will include regular contact with banks, solicitors, and agents. 
  • Assist with general tasks as required by the Corporate Governance Manager and CEO. 

Essential Skills & Qualifications:

  • Board level support exposure and experience
  • Exposure and/or experience in offshore fund administration and regulations
  • IMC qualifications and/or ICSA or equivalent training desirable
  • Tactful & able to operate with discretion 
  • Ability to operate effectively under pressure
  • Excellent verbal and written communication skills
  • Experience of working in a fast-paced environment
  • Outstanding organisational skills 
  • Adaptable and problem-solving mentality, with confidence to ask quetsions and/or seek solutions when required
  • Flexible work ethic
  • Excellent MS Office skills including Word, PowerPoint, Excel
  • Smartsheet experience desirable
