Corporate (Subsidiary Focused) Paralegal /Corporate Governance Professional

About the role:

-You will:

  • Assist in the provision of company secretarial services, corporate governance and regulatory support
  • Ensure proper, consistent management of global subsidiaries, utilizing a global entity management database (GEMS), external counsel and corporate secretarial service providers
  • Coordinate and work with internal stakeholders, external counsel and accounting firms on projects related to corporate governance and legal reporting matters
  • Work with and support internal stakeholders such as finance, tax, treasury, HR, stock administration and executive compensation
  • Support corporate transactional legal matters
  • Drafting of Directors and Shareholders resolutions, assisting with the execution and filing of such documents
  • Onboarding of new executive officers and directors
  • Prepare and circulate indemnification agreements for new directors and officers
  • Prepare and manage filings and related documents as directed by in-house attorneys

About you:

 - You are:

  • Current or previous Paralegal or Company Secretarial experience, preferably in a large organization
  • Excellent written and verbal communication skills
  • Exhibit highly organized, detail-oriented, and effective time management skills
  • High level of professionalism, with the ability to handle sensitive/confidential information with the utmost appropriate care
  • Ability to identify issues and work toward a resolution
  • Motivated and driven

Your experience includes:

  • Corporate paralegal or corporate secretarial professional, preferably in a global company but also interested in candidates with experience in a legal/ accounting firm
  • Maintenance of statutory books and records
  • Experience managing and owning relationships with key stakeholders
  • Experience working with corporate service providers and external counsel
  • Experience supporting mergers and acquisitions
  • Experience with subsidiary formations and liquidations
  • Strong computer skills, including proficiency in Microsoft Office suite of applications
  • Experience with a corporate entity management tool, preferably GEMS
  • Experience working in a fast paced, professional environment with a focus on attention to detail and multi-tasking
  • Degree and ICSA qualification/Chartered Corporate Secretary qualification preferable.
