Company Secretarial Assistant - Kingfisher plc

Kingfisher plc, the owner of DIY brands including B&Q and Screwfix in the UK, is currently looking to recruit a new full time Company Secretarial Assistant reporting to the Deputy Company Secretary. The role will involve exposure to the full range of FTSE100 PLC activities, in addition to varied UK subsidiary work and exposure to international subsidiaries.

The role is part of the Group Company Secretariat, working with the Company Secretary, Deputy Company Secretary, Senior Assistant Company Secretary, Share Plans Manager, Share Plans Coordinator, and Personal Assistant/Assistant to the PLC Board. The Paddington based team in is friendly, relaxed, and supportive.

KEY ACCOUNTABILITIES

  • Board & Committee support
    • In liaison with the Deputy Company Secretary, manage and communicate the Board and Group Executive Committee agendas and forward planners
    • Leading the collation and publication of all Group Investment Committee, Finance Committee and Group Structure Sub-Committee materials with key stakeholders within the business
    • Secretary to two important internal committees the Finance and Group Structure Sub- Committee, which have Director-level involvement
  • Responsible for delivering the Group’s MAR compliance procedures, including reviewing and maintaining the insider and restricted lists, the dealing policy, insider and restricted guidance and training materials, and all associated communications
  • Leading drafting the AGM materials including the notice of meeting, ancillaries, and collate and publish the Directors’ briefing pack
  • Responsible for drafting and communicating a quarterly internal corporate governance update to internal stakeholders, including at Director-level
  • Leading drafting of the Directors’ biographies, corporate governance report, Directors’ report and shareholder information sections of the annual report and accounts
  • Assisting with statutory compliance for the Group and its UK subsidiaries:
    • Leading an annual integrity review to verify the compliance of all Group subsidiaries
    • Statutory books and records maintenance for certain UK entities, including completion of filings with Companies House
    • Drafting dormant accounts for all relevant UK Group entities
    • Drafting routine statutory documents including minutes and resolutions for UK subsidiary companies (e.g. accounts approval, director changes, dividends, capital reduction)
    • Maintaining the Group’s legal entity structure chart, including management of the quarterly validation process
    • Liaising with contacts (Finance / Legal / Tax / Treasury) on projects involving overseas entities
  • Involvement in ad hoc corporate projects including progressing the Shareholder Strategy and supporting changes to Kingfisher’s internal governance arrangements, particularly those owned by the Group Company Secretariat team
  • Maintaining the integrity of Group Company Secretariat’s presence on the Kingfisher plc website and on the intranet
  • Undertaking research into the Companies Act, Listing Rules, and various regulatory requirements.
  • Provision of general company secretarial support to the other members of the team and the wider Group

PERSONAL EXPERIENCE/QUALIFICATION/SKILLS

Work Experience

Minimum of 3 years’ relevant experience in a large, complex UK listed company, preferably FTSE100

Board and committee experience preferable

Working knowledge of the UK Companies Act, UK Corporate Governance Code, UK disclosure, transparency and listing rules and EU Market Abuse Regulations

Strong IT skills: Excel / Word / PowerPoint

Prior experience with Blueprint OneWorld or similar company secretarial database

Educational Qualification

ICSA finalist/Associate member of the ICSA

Degree level education preferable.
