Assistant Company Secretary - Asset Management

We have been instructed by a fast-growing asset management firm for help in hiring a passionate Assistant Company Secretary to join their friendly team. Reporting to the Company Secretary, you will be responsible for the management of a portfolio of investment funds, attending and minuting board meetings, ensuring statutory compliance and work on corporate transactions. Key Roles and Responsibilities

  • Ensure effective servicing of a number of company boards and committees by arranging associated meetings, assisting with drafting agendas and collation and creation of board packs
  • Ensure the maintenance and timely update of ICSA Blueprint Company Secretarial records or on another global entity management and corporate governance portal.
  • Organise annual general meetings
  • Attend and minute board meetings where required
  • File statutory accounts, including; maintaining a timetable, liaising with the Finance Department and auditors, reviewing draft accounts, arranging board approvals, director signatures and timely filing with Companies House
  • Monitor and assist with the filing of confirmation statements for the portfolio
  • Manage the regular liquidity event procedure which includes; reducing companies’ capital, attending project meetings, preparing capital reduction documentation and holding board meetings for multiple companies
  • Assist the Company Secretary with other ad hoc tasks as required including director changes, allotments, company acquisitions, new company incorporations, share transfers etc. and the required Companies House filings and other relevant duties
  • Ensure the maintenance and timely update of statutory records and registers
  • Review and maintain certain processes and procedures where there is nominated responsibility

Experience and Qualifications

  • Strong technical experience, ideally gained in professional services
  • ICSA qualified/studying towards
  • Board support and minuting experience is preferable, but not essential
