Senior Assistant Company Secretary - Ventures and VCTs

Our client, an innovative asset management company with a focus on sustainability, is seeking to hire an experienced Senior Assistant Company Secretary to join their fast-paced team. You will report to the Head of Legal to assist them in managing a portfolio of funds and VCTs, while also gaining a varied exposure to all aspects of the Company’s lifecycle and board support. Key Role and Responsibilities

  • Review Annual Report and accounts and review Companies House filings
  • Draft and review documentation and forms
  • Manage M&A transactions within the portfolios, including; liaising with external lawyers on the steps plan, reviewing documents prepared by the external lawyers and preparing internal funding paperwork
  • Draft board meeting agendas
  • Take minutes at the board meetings and matters arising schedules
  • Advise the boards on UK corporate governance matters
  • Manage the listing rule compliance aspects of the VCT listed funds
  • Keep procedures and precedents up to date and in line with current regulatory requirements
  • Maintain the structure charts for the portfolio
  • Update Diligent Entities and the statutory registers with any company changes
  • Oversee/delegate tasks to junior members

 Experience and Qualifications

  • ACIS qualified preferred
  • Previous experience in a Company Secretariat team, in a fund/investment or asset management firm
  • Solid minuting experience
  • Strong IT capabilities, including being confident in the use of platforms such as Microsoft Teams, Diligent Entities and Board Intelligence
