The company Secretarial team works to support their clients to provide quality company secretarial and governance services.

The Company Secretarial team is part of their Accounting and Outsourcing team.
Job Purpose

The role of a company secretary is to ensure accurate and timely statutory compliance and corporate governance for a range of UK and international clients. You will be the point of contact for your portfolio of clients, providing high quality advice and work with other teams to deliver an excellent client experience.

Role and Responsibilities
• Constructing correspondence to clients and other agencies to enable the preparation and maintenance of client's company secretarial records and statutory registers.
• To be fully skilled in the use of the Diligent Entities (formerly Blueprint) company secretarial software.
• To prepare annual confirmation statements and other forms for Companies House from the information provided using Diligent Entities.
• To have knowledge of the Companies Act 2006 and matters such as persons of significant control.
• To draft board minutes and shareholder resolutions to make relevant changes to a company.
• To have good knowledge and understanding on incorporating UK companies and branches of overseas entities on behalf of the firm's clients.
• To assist with ad hoc advisory projects, such as capital reductions, share buy-backs, share allotments and transfers.
• To assist with the maintenance of computer-based records detailing the status of each company.
• To ensure that clients are afforded the best possible response.
• To carry out any other administration tasks that may be required by the management team.
• Opening and closing client matter codes using our in-house software.
• Be familiar with anti-money laundering requirements with regards to client onboarding.
• To ensure that correct records are kept and that client files are kept up to date.
• To assist your manager with monitoring financial performance of the team.
• To have knowledge of the service lines within the firm to enable the promotion of the firm.

Skills, Knowledge and Experience
• Must have at least 2 years' experience working as a company secretarial assistant in a professional services environment.
• Must be committed to qualifying as a Chartered Secretary.
• Must have a good working knowledge of the Companies Act 2006
• Must possess strong organisational skills and good communication skills, both written and verbal, and have an excellent attention to detail.
• An understanding of company secretarial accounting practices and/or business skills.
• Knowledge of the maintenance of statutory records using Diligent Entities.
• Must be able to demonstrate computer literacy, with understanding of Microsoft packages including Word and Excel.
