Company Secretarial Assistant – FTSE 250

Salary: £35,000- £45,000

Location: London with occasional travel to Kent

Reports to: Assistant Company Secretary

To support in the provision of a comprehensive and professional company secretarial service to the Group, ensuring that all statutory, corporate and other regulatory compliance requirements are met with and that information required by the PLC Board and Executive Leadership Team is timely, accurate and well presented. You will assist the Assistant Company Secretary and work closely with the Company Secretariat Administrator in supporting the team’s needs.  You will also work with the Group’s Joint Venture team to ensure good governance of the Group’s joint venture subsidiaries.

The role:

  • Work alongside the team in ensuring compliance with company legislation, the UKLA Listing Rules, the Corporate Governance Code and any other regulatory requirements.
  • Maintain the statutory records and minute books and manage the annual reporting requirements for all Group subsidiaries.
  • Manage updates to the Group’s delegated signing authorities and maintain the Group’s sealing registers.
  • Assist with the preparation and release Stock Exchange announcements as required, ensuring that they are accurate and complete in accordance with DTR requirements.
  • Assist in the preparation and accuracy of the Annual Report and Accounts, ensuring that associated deadlines and timescales are met.
  • Assist in the preparation for and organisation of the AGM and provide organisational support at the AGM.
  • Support the administration of the Group’s share schemes.
  • Assisting in the planning and preparation of internal committee meetings.
  • Prepare joint venture subsidiary board papers, arrange, attend and minute meetings of JV boards.
  • Liaise with the Group’s Registrars, external auditors and external advisors as necessary.

Requirements:

  • Educated to degree level and part or full ICSA qualified (or committed to working towards this qualification).
  • Company secretarial experience, to include subsidiary management, meeting support and minute taking (preferably within a listed company environment).
  • An ability to establish credibility with and inspire confidence in all stakeholders, and to exercise judgment in dealing with sensitive and confidential issues.
  • Detailed working knowledge of company secretarial software and board portals.
  • Knowledge of Companies Act 2006, Corporate Governance Code, DTRs and Listing Rules.
