Overview
If you’re a Chartered Secretary looking for better work-life balance, then this might be the right opportunity for you. We have been exclusively appointed by a global tech business which is seeking an autonomous Company Secretary to join their HQ in London. Reporting to the CFO (with a dotted line to the CEO), you will ensure that the organisation meets its legal and regulatory obligations as a public limited company and operates to a high standard of corporate governance. We are keen to speak to Company Secretaries and Deputy Company Secretaries, with listed company experience, who are looking to work 2-3 days a week.
Key Role and Responsibilities
- Provide guidance to the Chairman/CEO/CFO on how to meet the company’s legal and corporate governance responsibilities and provide practical support to enable the Board to run efficiently and effectively.
- Organize and administer all the Board’s activities and meetings, including preparing agendas, taking minutes and manage the annual board cycle.
- Ensure that information flows appropriately and effectively within the Board and its committees and between the executive team and non-executive directors
- Developing and overseeing the systems that ensure that the company complies with all applicable codes, in addition to its legal and statutory requirements, including year-end activity.
- Monitoring changes in relevant legislation and the regulatory environment and taking action accordingly.
Experience and Qualifications
- Ideally a law degree or background and a qualified chartered company secretary.
- Experience working as a Company Secretary in a FTSE 250/350 company
- Knowledge and experience in Board Administration, Governance, Annual Reports, Regulatory compliance, ESG, Governance related policies, and market abuse regulations.
