Assistant Company Secretary – Listed Financial Services

£60,000- £70,000

Reporting to Director of Governance

This position sits within a sub team of 4, and alongside broad corporate governance work within the function will focus on managing some of the shareholder processes, registrar interactions, AGM Notice, AGM as well as listing obligations. This position is suited to someone with plc exposure seeking a move into a diverse workplace.

The role:

  • Ensuring the team keeps pace with developing and emerging best practices, new legislation, and regulatory and corporate governance developments, including preparing and drafting reports and papers on relevant matters and holding masterclasses for secretariat colleagues.
  • To act as a key point of contact for the provision of high-quality advice and support on general listed company secretarial and corporate governance queries

  • To act as key point of contact for the publication of stock exchange announcements
  • To support the planning and delivery of the AGM
  • Ensure the company complies with the obligations under the Market Abuse Regime
  • Support compliance with Listing, Disclosure & Transparency Rules
  • To support the minuting of Adhoc Board meetings as necessary
  • To provide exemplary advice in relation to UK listings
  • Oversee the release of stock exchange announcements, ensuring compliance with the relevant regulations.
  • Maintain the relationship with the Company’s Share Registrar, transacting key projects and initiatives to ensure shareholders are well informed and the register efficient
  • Be familiar with the Group’s Enterprise Risk Management Framework
  • To Adhoc act as Committee Secretary to a Committee of the PLC Board
  • Attend and minute Committee meetings
  • Foster good working relationships with senior stakeholders
  • Where appointed, provide company secretarial support for subsidiaries

Requirements:

  • ICSA qualified or part qualified
  • Experience of working within a UK listed company of substantial size and complexity with further listings overseas
  • Ability to build relationships at all levels and confident in dealing with senior executives and Board members
  • Ability to prioritise workload and manage deadlines
