Company Secretarial Assistant

Reporting to the Deputy Company Secretary and Senior Assistant Company Secretary within the Group Legal/Company Secretariat Department, this role involves providing high quality company secretarial services and support to the Secretariat team in a fast-moving, challenging and varied environment. The ability to cope with a wide variety of work for a FTSE 100 listed company is paramount and therefore the role requires someone who is proactive, willing to take on responsibility and work autonomously.

Key Responsibilities

  • Statutory compliance work for UK and overseas subsidiary companies:
  • Organising board meetings and preparing minutes for subsidiary entities – both in relation to regular compliance events and ad hoc projects
  • Maintain statutory registers on Diligent Entities and hard copy (where necessary)
  • Prepare and file all UK statutory forms with Companies House via Diligent Entities including annual confirmation statements, changes in officers and share allotments
  • Support the Finance team in preparing and reviewing subsidiary financial statements, arranging signature and filing with Companies House or Companies Registration Office (for Irish subsidiaries)
  • Develop working relationship with Informa colleagues and external company secretarial providers particularly in Europe, Middle East and Asia
  • Provide support and assistance to the Deputy Company Secretary and Senior Assistant Company Secretary in relation to servicing the PLC Board and its Committees in accordance with the articles, the UKLA Listing Rules, 2006 Companies Act, the Market Abuse Regulations and any other relevant legislation or regulation
  • Assist with the collation of Board and Committee papers via the Board Portal (Diligent Boards)
  • Minuting Treasury Committee meetings (and Tax Committee meetings if required)
  • Drafting sections of the Annual Report
  • Delivery of the Annual General Meeting, and other general meetings as appropriate, including drafting shareholder mailings
  • Maintenance of confidential or insider lists
  • Release of Stock Exchange Announcements and FCA filings re Directors’ dealings
  • Work with the Deputy Company Secretary and Senior Assistant Company Secretary to update and maintain the Group Structure Chart
  • Provide support and assistance to the Tax, Legal and Company Secretariat teams on corporate projects including group re-organisations, acquisitions and disposals as required
  • Dealing with other ad-hoc requirements, including monitoring a shared Company Secretariat mailbox,  liaising with professional advisors including notaries and external service providers
  • Liaising with the Registrars on all aspects of shareholder correspondence including dividend documentation
  • Such other duties as may from time to time be allocated by the Company Secretary, Deputy Company Secretary or Senior Assistant Company Secretary


What we are looking for

  • CGI (ICSA) qualified with listed company experience
  • Good working knowledge of company secretarial practice, Companies Act 2006, Listing and Disclosure & Transparency Rules, Bribery Act, Market Abuse Regulations.
  • Understanding of the needs of the company secretarial function of an international Group
  • Ability to meet deadlines and diligence in providing timely responses to the team and wider group
  • Professional approach with commercial & business awareness, a flexible and hands-on attitude, able to cope with unexpected and varied demands while retaining a keen eye for detail 
  • Strong interpersonal and communication skills and a high level of IT literacy including experience of Company Secretarial software (ideally Diligent Entities and Diligent Boards), Word, Excel, Powerpoint, Outlook and, ideally, Visio.
