Company Secretary (12month FTC) - Greater Manchester

Our client seeks to appoint a Company Secretary on an interim basis (maternity cover) to take overall responsibility for the Secretariat on a day to day basis. Reporting directly to the CEO and with the support of a Deputy Secretary you'll ensure the highest quality of company secretarial and governance support is maintained to all business areas and functions within the group.

ICSA qualified with experience in the financial services sector, this role will suit someone who likes to lead, coach, motivate and develop a professional team to establish and maintain exceptional corporate and secretarial standards, expertise and service to all stakeholders. Duties are likely to include (but not be limited to);

  • Provide support to the Chairman, CEO and Non-Executive Directors to ensure the effective functioning of the Board and Board Committees.
  • Responsible for implementing and embedding strategic ESG considerations at the Board level.
  • Act in the role of facilitator in discussions at the Board and Executive Committee level to develop strategic ambitions and priorities.
  • Responsible for the production and regular review of matters reserved for the Board. Ensuring the Board deals with, and does not delegate decision-making responsibilities on those matters.
  • Act as a source of advice and guidance to all directors, providing support where required on matters of corporate governance best practice.
  • Assisting the Chair and CEO with periodic reviews of governance arrangements in the Group, and provide advice as to whether they remain fit for purpose and appropriate and whether improvements should be made.
  • Maintain regular contact with SM&CR Office, Compliance and other assurance departments regarding relevant matters.
  • Ensuring good information flows within the Board and its committees and between senior management and non-executive directors, as well as facilitating induction and assisting with professional development as required.
