Assistant Company Secretary

Exciting opportunity for an Assistant Company Secretary to join a growing secretariat team due to an increasing in client instructions You will join an established team providing company administration services to a varied portfolio of clients.

Strong candidates will be educated to a degree level and, ideally, partly or fully CGI qualified, possessing a good knowledge of the Companies Acts and other relevant statutes and demonstrable experience of working in a company secretarial position (preferably in professional services or a larger corporate setting). It would be an advantage if you have experience of using Blueprint OneWorld software.

You will be stepping into a client facing role and taking the responsibility for a portfolio of clients, reporting to the Head of the Department. The role requires strong organisational skills, attention to detail and excellent verbal and written communication skills, ability to manage workload and to prioritise multiple tasks ensuring clients’ deadlines are met, involving the wider team in busy periods and not losing sight of delegated tasks.
Daily tasks will involve various aspects of company secretarial compliance including, but not limited to:

• Ensuring that clients’ filing deadlines are met and that documents are issued for approval in good time (confirmation statements and any pending filings)
• Preparation of board and shareholders’ minutes and resolutions, Companies House forms and supporting documents required to record the changes to company’s or officers’ details
• Preparation of resolutions, forms and supporting documents for share capital transactions (share allotments and transfers, capital reductions, share buybacks, subdivisions, consolidations, share re-designations and share-for-share exchange)
• PSC analysis and updating Persons of Significant Control (PSC) registers
• Preparation of dormant company accounts
• Formation of UK companies and Limited Liability Partnerships
• Registration of UK establishments of foreign companies and advising on their compliance requirements
• Preparation and filing of Companies House forms reporting the changes to UK establishments
• Maintaining statutory books and ensuring they are up to date
• Responding to technical queries from clients and colleagues
