Company Secretary – Private Group

£70-80,000 DOE, London (hybrid)

Overview

This high-level, standalone role will provide an efficient and comprehensive company secretarial service to this well-regarded and dynamic group of companies. You will take full ownership of the company secretarial function, look after the Board and Committees and ensure governance and compliance best practices. Key Responsibilities & Accountabilities

  • Act as Secretary to all UK & Jersey boards & committees - including meeting administration & circulation of agendas and papers using OnBoard/BoardPad, taking and producing minutes and resolutions and following up actions for portfolio of 9 UK and 4 Jersey companies;
  • Manage the delegated authority approval process;
  • Ensure compliance with Companies Act 2006 and associated legislation;
  • Manage any corporate restructurings, transfers/allotments of shares, changes etc.;
  • Keep up to date with changes in company secretarial legislation, regulation & best practice and research as necessary to report up to date position to the Board or appropriate committee;
  • Drafting of Directors’ and Strategic Report sections of annual accounts and proof reading of entire document
  • Production of biannual Investor Report for bondholders;
  • Liaison with external counsel on corporate matters requiring specialist legal advice;
  • Broader involvement in non-core areas – anti-money laundering, trademarks and data protection.

Experience and Qualifications

  •  ICSA/CGI qualified or part qualified;
  • Strong organisational skills;
  • Able to use effective negotiating and influencing skills;
  • Extensive experience and knowledge of Microsoft office is essential, as well as a working knowledge of company secretarial software packages (such as Diligent Entities or GEMS).
