JOB SPECIFICATION
Position: Senior Assistant Company Secretary
Reporting to: Group Deputy Company Secretary
Department: Legal
Location: Peterborough on a hybrid working basis or London on a hybrid working basis
Role Purpose:
Established in 2001, Markerstudy Group includes the UK’s largest MGA - Markerstudy Insurance Services Limited (MISL), which supports UK broker partners and protects in excess of six million policyholders with a comprehensive range of products.
In 2020, Markerstudy Group acquired Co-op Insurance’s underwriting business and commenced a 13-year partnership to provide home and motor insurance products under the Co-op brand.
In 2021 it acquired BGL Insurance, a leading distributor of insurance to 3 million customers, and Lloyd’s broker, Clegg Gifford.
With our continued expansion we are now looking to appoint a proactive, enthusiastic and qualified Assistant Company Secretary to assist and support the Company Secretary and the Company Secretarial team as a whole, with the administration and record keeping of the Companies and Boards of the Markerstudy Group of Companies. with a specific focus on the regulated Insurance Boards.
Key Responsibilities:
Meeting Operation:
The post holder will be responsible for the smooth operation of some of the Regulated Insurance Boards, Board Committees and any sub committees, duties to include:
- Extensive meeting coordination including preparing agendas, collating briefing notes and tracking actions
- Maintaining an up-to-date record of report contributors for the various boards and committees
- Liaising with report contributors in order to collate all submissions as per agreed timelines
- Building of board and committee packs using Diligent Entities and the circulation of these packs within timeframes agreed in Terms of Reference dependant on the Board or Committee
- Attending meetings, as directed, in order to take accurate minutes
- Maintaining records and logging all previous meeting materials
- Ensuring minutes and actions are circulated expeditiously
- Undertaking other reasonable responsibilities and projects as instructed by the Deputy Company Secretary and assisting the Deputy Company Secretary as otherwise directed
- Adhering to Company processes with regard to FCA compliance and Consumer Duty
General Duties
Including, but not limited to:
- Company Secretarial duties including filing of documents at Companies House using paper and online filing as appropriate
- Preparing statutory minutes
- Maintaining all company registers, records and legal documents
- Checking the statutory procedures required for events arising and drafting all paperwork
- Monitoring changes in company law and the regulatory environment
- Arranging stock transfer agreements, share allotments, payment of dividends
- Assisting with corporate actions such as mergers and acquisitions of companies – including due diligence and providing buyer and seller documents
- Adhering to Company processes with regard to FCA compliance and Consumer Duty
- Undertaking other reasonable responsibilities and projects as instructed by the Company and/or Deputy Company Secretary
- Completing bank mandates for new accounts and changes
- Assisting with the update of risk registers and reports
- Assisting the Company and Deputy Company Secretary as otherwise directed
Essential Skills & Experience:
- Educated to degree level and CGI (ICSA) qualified or legal equivalent
- Experience working in a regulated environment with FCA, Lloyds or PRA
- At least 5 years previous company secretarial experience, to include company administration, board/committee support (including extensive minute writing)
- Excellent attention to detail and organisational skills
- Organised and efficient
- Ability to multi-task and work to tight deadlines
- Ability to work autonomously
- Proactive and positive “can do” attitude
- Willing to learn new areas and take on new duties
- Good IT skills; thorough working knowledge of Microsoft Word, Excel, Internet Explorer, Outlook, Diligent Entities (or equivalent) and Diligent Boards (or equivalent)
