As a member of the Corporate Secretariat team, the successful candidate will assist in providing a full secretariat service to the Group and its overseas subsidiaries (including in the UK, Europe, Asia, Australasia and Middle East regions).

Your purpose:

We're looking for a Company Secretarial Assistant in the UK team as part of a busy, friendly international Corporate Secretariat which carries out all core company secretarial responsibilities for the Group’s subsidiaries, with a focus on statutory compliance and record-keeping, routine annual and year-end procedures, and ad-hoc projects, as well as managing the compliance and maintenance of the Group’s international portfolio of subsidiaries with external consultants/legal service providers.

Core duties include:

  • Managing subsidiary, branch and other entity management/compliance, including:
  • Incorporation/registration of new entities.
  • Deregistration/liquidation of existing entities.
  • Statutory documentation/files and entity management database records.
  • Subsidiary board minutes and shareholder resolutions for both ad hoc and routine matters.
  • Statutory returns.
  • Statutory accounts.
  • Advising on project/bid and KYC support e.g. in connection with the preparation of statements, provision of documentation.
  • Preparing Powers of Attorney.
  • Assisting with document and contract execution requests (notarisation, legalisation requests).
  • Supporting the M&A Team on merger & acquisition and divestiture/reorganisation and project support (including post-completion filings, onboarding new entities).
  • Assisting the team with review of UK subsidiary accounts.
  • Providing support to other Legal team members.

What you can bring:

  • Previous practical company secretarial experience (ideally within an international Corporate Secretariat team).
  • Experience of managing the administration of entities in a range of jurisdictions/internationally.
  • Company secretarial technical skills, preferably developed in a complex international group.
  • Microsoft Office: Intermediate level.
  • Working knowledge of entity management platform/database (such as EnGlobe, Blueprint) desirable.

Qualifications:

  • ICSA qualified or currently undertaking ICSA qualification (ideally with experience working in an international corporate secretariat)

  • Articulate with excellent communication skills, especially written English.
  • Ability to prioritise and manage a large and varied workload; ability to work autonomously with minimal supervision.
  • Happy working in a fast-paced environment with demanding deadlines and willingness to learn to take on new responsibilities and tasks.
  • Professional approach.

  • Good interpersonal skills required (tact, honesty, integrity, confidentiality, patience and ability to get on well with all levels of staff in a multicultural environment).

Location:

Based in the UK, primary location: Epsom or London office (with hybrid/remote working as per company policies).
