Assistant Company Secretary

DMJ are pleased to support a longstanding FTSE250 client in their search for an Assistant Company Secretary. This is a newly created role sitting as part of a forward-thinking function, offering a mix of plc work, subsidiary governance, and corporate transactions.

Key Responsibilities:

  • Ensure all group legal entities are fully compliant with their legal and regulatory obligations
  • Advise on the practical application of key codes, policies, and rules, including the UK Corporate Governance Code, the Companies Act, and Market Abuse Regulations
  • Responsible for the review, approval, and release of RNS announcements
  • Prepare the verification of statements for periodic reporting and disclosures, and support across year end including on the Annual Report and AGM
  • Conduct the company secretarial aspects of corporate activities including M&As and reorganisations
  • Build strong relationships with stakeholders, explaining and briefing them on matters arising in the course of their work

The Ideal Candidate:

  • CGI qualified with a minimum of 4 years’ company secretarial experience
  • A strong working knowledge of Blueprint, Diligent, InsiderTrack, and RNS
  • Prior experience in a UK listed organisation (FTSE250)
  • Sound knowledge of UK Listing Rules, the Governance Code, Companies Act, and Market Abuse Regulations
  • Excellent communication skills with the ability to influence and lead others in the realisation of project objectives
  • Team-player with a can-do attitude
