Head of PLC Governance

I have been exclusively instructed by a listed financial services group to appoint a Head of PLC Governance. This senior position plays a pivotal role in strengthening the organisation’s corporate governance framework, leading the PLC team, taking a lead on the AGM and acting as Secretary to one of the main PLC committees.

The Opportunity

As Head of PLC Governance, you will report to the Group Head of Corporate Governance. This is a high-impact role for an experienced governance professional who thrives on delivering high quality plc work while supporting the development of a resilient governance framework that underpins business success.

Key Responsibilities

  • Lead the PLC governance workstream, ensuring delivery against all listed company requirements including the AGM, Annual Report, shareholder communications and regulatory disclosures.
  • Provide expert advice on corporate governance obligations, monitoring developments in regulation and industry best practice.
  • Drive enhancements to the group’s governance framework, supporting effective Board and committee operations, decision-making processes and delegation of authority.
  • Partner with senior executives to deliver performance evaluations for management committees and ensure consistent divisional governance standards.
  • Act as Secretary to designated Boards or Committees, ensuring effective meeting planning, accurate minutes and timely follow-up of actions.
  • Lead, coach and develop team members, fostering a culture of excellence and continuous improvement within the corporate secretariat.

About You

The successful candidate will bring:

  • At least six years’ governance experience within a listed corporate secretariat function. Financial Services experience would be desirable but not necessary.
  • Strong knowledge of UK company law, the UK Corporate Governance Code, Listing Rules, DTRs and Market Abuse Regulation.
  • Proven ability to manage and develop people, balancing leadership responsibilities with hands-on delivery.
  • Excellent organisational, communication and stakeholder management skills, with the confidence to act decisively in a fast-paced environment.
  • A professional qualification such as Chartered Governance Institute accreditation (or equivalent).
