County Durham and Darlington NHS Foundation Trust has a wholly-owned subsidiary company – Synchronicity Care Limited (SCL) – to provide a wide range of estates, facilities and procurement services to the Trust and a number of smaller companies.  Together the Trust and the subsidiary company form the ‘CDDFT Group’. SCL is a high-performing company, receiving rewards and recognition for the services it provides and delivers vital services supporting patient care provided by the Trust. 

The role

The CDDFT Group is seeking a skilled and highly-motivated company secretary to advise and support SCL’s Chair, Board and Executive Directors in implementing highly effective governance arrangements in line with the Companies Act, and in support of the objectives and needs of the company and the CDDFT Group as a whole.  The post-holder will report to the Senior Associate Director of Assurance and Compliance for the Group, to maintain both the connection to Group governance arrangements and team, and for resilience through that wider team. On a day to day basis, the post-holder will be seconded to work closely with SCL’s Managing and Finance Directors and with the Chair of the SCL Board.  In addition to the core company secretary role, the incumbent will support the SCL Board by coordinating the development of strategic and annual plans and overseeing the implementation of information governance policies, and will be offered a range of other stretch projects and advisory work in support of the company or, on occasion, the Trust. 

Options

The role is available either to cover core company secretary duties for 15 hours per week, or for 22 hours per week for candidates with the desire to further promote the CDDFT Group’s objectives by overseeing and coordinating the implementation of our Green Plan. This latter role is desirable – and we believe highly rewarding – but not essential. Candidates are asked to state their preference in the additional information section of their application. 

About you

You will have suitable legal, accounting or company secretarial qualifications and / or experience, a proven ability to work with staff at senior levels and build relationships across teams, and the ability to work as a trusted adviser in this area.
