Our client, a global FTSE 250 company seeks to recruit a Deputy Secretary, a full job description is available on request. Reporting to the Group GC/Co Sec, and with the help of an Assistant Secretary and Board Support/Admin assistance you will be responsible for all company secretariat matters for the plc, including a wide variety of share plan work and leading on/writing relevant sections of the Annual Report and Directors' Remuneration Report. The role would suit a candidate with the following skills and experience;
- Highly experienced member of the ICSA/Chartered Governance Institute with substantial professional experience gained in a FTSE-listed company.
- Demonstrable up-to-date technical knowledge with particular expertise in the requirements of the Corporate Governance Code, the UK Listing Rules/DTRs, MAR, subsidiary governance (ideally multi-jurisdictional) and share plans
- Experience managing and preparing documentation for all forms of share plans including all-employee schemes (both UK and global) and long term incentive plans (such as LTIPs or share option schemes).
- Understanding of remuneration regulations and remuneration structures for Executive Directors.
- Able to interact successfully with people at all levels and be comfortable operating at Board level to ensure key stakeholders have full confidence
- Self-starter with excellent organisational skills who is able to perform the role proactively and independently, as well as be a high performing part of a team
- Be flexible, pragmatic, resilient and calm under pressure with a proven ability to operate effectively in a demanding and fast-moving environment
- Act with integrity and discretion at all times
- Excellent verbal and written communication skills with a high level of accuracy and attention to detail.
- Good time-management skills and ability to prioritise workload and adhere to deadlines
- A hands-on ‘can-do’ and solutions-driven attitude
