Our client is an impressive, very well-renowned children’s charity who are currently hiring a Company Secretary to operate very closely with the Senior Leadership Team. The role will be tasked with leading the Corporate Services Team, ensuring that all Board/Committee, Trustees, and Group subsidiary decision-making processes act in compliance with relevant charity law, statutory compliance and UK legislative frameworks, as well as maintaining and promoting good corporate governance. If you have the gravitas and have strong experience ideally from the not-for-profit sector, then this may be the role for you!

Responsibilities

  • Ensuring compliance of the organisation with all relevant regulatory bodies and laws, including company and charity law.
  • Creating and encouraging a good governance culture across the charity.
  • Leading the Corporate Services Team, and acting as the project lead on governance and compliance projects.
  • Managing the board evaluation process, as well as co-ordinating all the Trustee Board and Committee meetings.
  • Horizon scanning for future changes within the corporate governance landscape, making recommendations for improvement.
  • Leading on Risk, Internal Audit and Insurance.

Experience and Qualifications

  • Strong, extensive experience in leading a corporate governance function, with some knowledge of Data Protection and risk management.
  • Knowledge of relevant legislation, including charity regulations and laws.
  • Considerable experience working with senior management team, stakeholders and trustees.
  • Ideally CGI qualified.

  • Strong communicative skills, both verbal and written, with the capacity to interact confidently and respectfully with stakeholders and staff members across all levels.
  • Strong organisational skills, with the capacity to balance and prioritise shifting workloads and deadlines.
