Company Secretary - UK Charity

DMJ are delighted to be partnering a large UK charity in their search for a new Company Secretary. Reporting to the General Counsel, the successful candidate will be responsible for ensuring effective governance and support decision making, in particular at Trustee Board and Committee level, and to Directors of subsidiary companies.

Key responsibilities include:

• Managing governance processes effectively to ensure the smooth functioning of the charity.
• Working with the relevant chairs of trustee, subsidiary companies and committees to organise meetings including the timely production of board and committee papers.
• Ensuring an annual general meeting is held in accordance with the requirements of the charity’s governing documents.
• Ensuring the charity has a robust framework for compliance with charity governance standards, and for applying the recommendations of the Charity Governance Code and other good practice and where appropriate.

Essential experience required:

• CGI Qualified (note candidates’ part-qualified/ with equivalent experience will also be considered)
• Previous and substantial work as a Chartered Company Secretary and in a broad Governance role ideally at a charity or in the not for profit sector.
• A working knowledge of The Companies Acts and Charities Acts.
• Planning and delivering meetings and events involving trustees and/or senior individuals.
• Preparing board packs and other governance document.

This role is offering a salary of circa £70,000 (depending on candidate experience).

This well-established organisation is based on the South Coast of England, and the successful candidate would be required to travel to the office on a regular basis (1 day/week or equivalent).
