Assistant Company Secretary

A fantastic Assistant Company Secretary opportunity to join a growing insurance business that will see you working closely with the Group Company Secretary and implementing new governance procedures. The role will also involve supporting Committees, minute-taking and reviewing and drafting policies, amongst other things, and will ideally attract someone with extensive company secretarial experience with an insurance or financial services background. We’re open to seeing Company Secretarial Assistant professionals with solid experience looking to ‘step-up’ or Assistant Company Secretaries looking for a lateral move. Key Roles and Responsibilities:

  • Provide company secretarial services to Group-level board and committees, including attending meetings and taking minutes
  • Advise, draft and implement policies and procedures to support the Group so that they comply with SOX/listed company requirements
  • Support Group-level entities and their capital raising activities
  • Maintain statutory registers using Diligent Entities
  • Manage and provide information, including KYC and powers of attorney relating to Group-level Boards and Committees and M&A

Experience and Qualifications:

  • ICSA qualified/part-qualified preferred
  • Previous Governance/Company Secretarial experience, preferably within either the insurance industry or financial services
  • Knowledge of SOX risk and US and UK listed-corporate governance standards desirable
  • Experience drafting / developing policy and processes desirable

  • Able to work well under pressure and within strict deadlines
