Senior Assistant Company Secretary – Financial Services (FTSE-250)

£Competitive, London (Hybrid – 2 days wfh)

We have been exclusively instructed by a FTSE250 financial services business in London as they look to hire a Senior Assistant Company secretary – a newly created role. In this exciting and varied role, you will predominantly be supporting on all listed obligations and be responsible for advising and guiding the Board and Chair on governance and corporate law. You will have exposure to all aspects of the Company’s lifecycle and agile working, a supportive team and growth and development opportunities are provided from day one. You will be expected to bring a positive and can-do attitude, be committed to working collaboratively as a team, deliver high quality work at precision pace, and be keen to contribute to the commercial success of the business as it continues to grow. Key Roles and Responsibilities

  • Responsibility for advising and guiding the Board and the Chair on governance, corporate law and other administrative matters, ensuring the Board is kept up to date on key legislation.
  • Attending Committee meetings and ensuring minutes and actions schedules are taken, circulated and followed up on.
  • Reviewing and developing the Group’s corporate governance framework, overseeing its implementation and compliance.
  • Provide guidance and assistance for the year-end sign off process in relation to Annual Report disclosures, and in the preparation for the Annual General Meeting (“AGM”).
  • Support the drafting, verification and proofreading of sections of the Annual Report as required.
  • Act as a principal contact for allocated NEDs, managing director inductions and Board evaluations.
  • Other Group Governance duties

Essential Skills, Experience and Qualifications

  • Previous company secretarial experience, within a UK listed company or within Financial Services
  • Extensive working knowledge of the most up-to-date legal, corporate governance and regulatory frameworks within a listed environment.
  • Must possess strong minute-taking experience.
  • Ideally full qualified member of the CGI

  • Must possess keen attention to detail and excellent communication skills, both verbal and written.
  • Able to work in a proactive and independent manner, as well as being a strong team-player able to build successful working relationships with internal and external stakeholders across all levels.
  • Flexible and ‘can-do’ approach, whilst remaining confident with shifting workloads and prioritising multiple deadlines in a fast-paced environment.
