Senior Assistant Company Secretary  - Financial Services 

£80,000-£100,000, London (2 days wfh)

We are working with a global financial services group who are looking to hire a Senior Assistant Company Secretary into their team in London. This is a role reporting into a very credible Company Secretary, who is looking for an exceptionally talented individual to come on board and support the group across Board/Committee management, transactions, governance projects and statutory compliance. You could be expected to run regulated Boards independently, but if you have exceptional technical transactional experience, the Company Secretary could consider tailoring the role to your strengths accordingly. Key Roles and Responsibilities:

  • Organising and facilitating all logistical elements of board and committee meetings, including material preparation, minute-taking, and follow-up on actions.
  • Coordinating the preparation, approval, and filing of annual financial statements across a portfolio of companies.
  • Aligning and agreeing meeting agendas with board and committee chairs, including for FCA-regulated entities.
  • Supporting governance workstreams for intra-group initiatives such as liquidations, restructurings, capital reorganisations, and cash repatriation, including due diligence, approvals, and post-completion follow-up.
  • Administering shareholder approvals and corporate governance matters for overseas subsidiaries.
  • Ensuring terms of reference and delegated authorities for boards and committees are kept current and aligned with corporate governance frameworks.

Experience and Qualifications:

  • CGI qualified preferred
  • Financial services experience preferred

  • ‘Hands on’ and flexible approach with a ‘can-do’ attitude
  • Strong time management skills and able to work to deadlines in a fast-moving environment
