We are delighted to be working exclusively on a unique and high-profile opportunity for a CGI-qualified Company Secretary to join a well-resourced and respected investment trust team at Vice President level. The role sits within a globally recognised asset manager, supporting a portfolio of nine premium-listed investment trusts with a combined $4.5 billion in assets under management. 

You’ll be part of a six-strong, high-performing Company Secretariat that operates at the heart of the business, delivering exceptional governance support and guidance. This is a rare chance to take real ownership of listed boards, work closely with senior stakeholders, and contribute to strategic projects across a fast-paced, intellectually stimulating environment. 

Key Roles and Responsibilities

  • Take company secretarial responsibility for a portfolio of listed investment trusts. 
  • Manage the end-to-end board governance cycle, including agendas, papers, minutes, and action tracking. 
  • Draft and coordinate content for interim and annual reports, managing the process from planning through to publication. 
  • Keep abreast of evolving regulations and governance best practice, helping boards understand and respond to changes. 
  • Maintain excellent relationships with brokers, registrars, auditors, and other service providers. 
  • Ensure statutory records are accurate and up to date, with timely Companies House filings. 
  • Oversee and implement corporate actions, such as share buybacks, tenders, and capital restructurings. 
  • Draft and submit RNS announcements where required. 
  • Collaborate across internal teams including Legal, Risk, Compliance and Portfolio Management to align governance with business priorities. 
  • Handle shareholder queries and contribute to ongoing investor engagement. 
  • Get involved in firm-wide initiatives that impact the investment trust platform. 

Experience and Qualifications

  • CGI-qualified Company Secretary (or equivalent) with solid experience in listed investment trusts or similar closed-ended vehicles or a main listed FTSE company and leverage your experience into the investment management arena. 
  • Strong technical understanding of UK Listing Rules, DTRs and Corporate Governance Code. 
  • Comfortable preparing board materials, handling reporting cycles, and providing guidance at senior level. 
  • Experience working with listed company stakeholders and external advisors in a regulated environment. 
  • Demonstrated ability to manage governance complexity and regulatory change.
