A leading global organisation with a strong presence across industrial, scientific, and sustainability-driven markets is seeking an Assistant Company Secretary to join its London-based Group Secretariat function on an interim basis of 6 month with possibility of extension. Operating within a complex international structure, this FTSE250-listed business plays a critical role in enabling a low-carbon future and holds governance excellence at the heart of its strategy.

Reporting to the Deputy Company Secretary, this is a key role supporting global governance operations, subsidiary management and compliance activities across the Group. You will join a collaborative and respected function that works closely with stakeholders across legal, finance, risk, and executive leadership.

Key Responsibilities

  • Maintain high-quality governance and statutory compliance across global subsidiaries
  • Oversee external corporate services providers and develop productive relationships with overseas contacts
  • Advise colleagues on company law and governance best practice, including approvals and board changes
  • Drive global governance initiatives, including annual board composition reviews and entity health checks
  • Support major corporate projects including M&A, legal entity rationalisation and corporate restructures
  • Assist with AGM preparation, dividend management and shareholder communications
  • Draft RNS announcements and coordinate FCA filings in line with regulatory obligations
  • Manage confidential insider lists and permissions under UK Market Abuse Regulations
  • Contribute to maintaining governance frameworks, including policy and terms of reference updates

Candidate Profile

  • Strong knowledge of international subsidiary governance and global entity management
  • Working knowledge of UK Corporate Governance Code and relevant statutory requirements
  • Proficient in entity management systems (ideally Diligent Entities); knowledge of Diligent Boards advantageous
  • Comfortable working across functions (Legal, Tax, Treasury, Risk, Investor Relations)
  • Strong written and verbal communication skills, with high levels of accuracy and attention to detail
