We are working with a high-profile FTSE 250 business looking to appoint a Senior Assistant Company Secretary. Reporting to the Deputy Company Secretary, this role offers broad exposure across core company secretarial and governance responsibilities — including support with the Annual Report, managing share schemes, releasing RNS announcements and line management of the Company Secretarial Assistant.

The company offers a hybrid working model (50% remote), based from their Hertfordshire offices, along with a highly attractive benefits package. Key Roles and Responsibilities

  • Ensure compliance with UK listing obligations.
  • Maintain the Group's Insider List and oversee the share dealing approval process.
  • Project manage the design, production and distribution of the Annual Report.
  • Administer executive and employee share schemes.
  • Manage board meetings and coordinate the AGM.
  • Monitor and track cases raised through the Group’s whistleblowing helpline.
  • Administer the Group’s subsidiary companies.
  • Manage the relationship with the registrar, including payment of dividends and responding to shareholder queries.
  • Support on corporate actions such as acquisitions, disposals, and internal restructuring projects.

Essential Skills, Experience and Qualifications

  • Qualified Chartered Company Secretary with significant experience in a listed PLC environment.
  • Strong knowledge of the Companies Act 2006, UK Corporate Governance Code, UK Listing Rules, Disclosure and Transparency Rules, MAR, and associated best practice guidance.

  • Excellent written and verbal communication skills, with the ability to tailor messages to different audiences.
  • Ability to remain focused under pressure, balance strategic thinking with execution, and seek guidance when appropriate.
  • Demonstrates professionalism and discretion when handling sensitive matters.
  • Builds strong working relationships with a diverse range of stakeholders across the organisation.
