Salary: £45,427 (increasing to £50,294 after probation)
Location: Remote, with attendance at in-person meetings in central locations across the UK
Contract: Full-time (37.5 hours per week) — Part-time hours considered for experienced candidates

This is an exciting new role, offering a unique opportunity for an individual to drive Mental Health Matters’ (MHM) vision and purpose through the ongoing review, refinement, modernisation, and strengthening of our governance frameworks.

We are seeking a dynamic and proactive Company Secretary to coordinate our governance framework and deliver our secretariat function. Acting as the trusted interface between the Board of Trustees and Executive Team, you will ensure the smooth flow of information, robust governance, and compliance with statutory and regulatory requirements.

About You

  • Chartered Governance Institute Qualification or Training, or equivalent foundation in governance principles
  • Experience in a Company Secretarial role, ideally within the VCSE (Voluntary, Community and Social Enterprise) sector
  • Strong organisational and planning skills, with the ability to manage a complex and diverse workload with precision
  • Excellent verbal and interpersonal communication skills, able to influence and build relationships at a senior level
  • Understanding of governance frameworks and risk management
  • Professionalism, discretion, and resilience under pressure

Key Responsibilities

  • Provide assistance and secretarial support to the Chair of the Board of Trustees and CEO
  • Coordinate and manage Board and Committee meetings, ensuring effective oversight and timely reporting
  • Maintain and monitor the register of trustees, executive directors, and persons with significant control
  • Ensure compliance with statutory requirements and governance processes
  • Prepare and distribute meeting packs and high-quality minutes
  • Lead on trustee induction, training, and development programmes
