Overview
The Private Infrastructure Development Group (PIDG) is a pioneering organisation that mobilises private investment to deliver sustainable and inclusive infrastructure across sub-Saharan Africa and south and southeast Asia. Since 2002, PIDG has supported 258 infrastructure projects to financial close, providing an estimated 232 million people with access to new or improved infrastructure.
Backed by major government donors including the UK, the Netherlands, Switzerland, Australia, Sweden and Canada, PIDG is entering an exciting new chapter. Following a significant governance transformation, the Group has unified its entities under a single corporate structure - PIDG Ltd, headquartered in London.
As part of this transition, PIDG is seeking a Global Company Secretary to lead and embed its new governance framework. This is a rare and career-defining opportunity to shape a world-class Corporate Secretariat in a unique, purpose-driven international organisation. The successful candidate will work closely with the Global General Counsel, the Chair, the CEO and the Board to build a cohesive governance model that supports transparency, accountability and global growth.
Key Responsibilities
- Provide expert advice and support to the Board, Chair and Committees, ensuring effective governance and compliance with all legal and regulatory requirements.
- Lead and manage all company secretarial activities across PIDG’s global footprint, including entities in the UK, Mauritius, Kenya, Singapore and Morocco.
- Develop, implement and maintain best-practice governance frameworks across the multiple group solutions.
- Support the Chair in the effective operation of the Board, including procedures, conduct and evaluation.
- Ensure robust statutory compliance, maintaining all registers and filing requirements across multiple jurisdictions.
- Facilitate communication between the Owner-Members, Board and Management, and support consensus-building among stakeholders.
- Lead on Board evaluation, succession planning and Director recruitment processes.
- Build, mentor and develop a high-performing global Company Secretarial team.
- Collaborate closely with the Legal and HR functions to ensure alignment on governance and organisational objectives.
Experience & Qualifications
- Extensive experience leading a global Company Secretariat within a complex, multi-jurisdictional environment.
- Demonstrated expertise in corporate governance frameworks and compliance with the UK Corporate Governance Code (or equivalent international standards).
- Proven ability to advise Boards and senior executives in diverse cultural and regulatory contexts.
- Strong background in project finance, infrastructure or international development, ideally within donor-funded or public-private partnership environments.
- Qualified Chartered Secretary (CGI or equivalent) with significant post-qualification experience.
- Track record of leading governance transformation projects or building new CoSec functions.
- Excellent knowledge of statutory and regulatory obligations across multiple jurisdictions.
