Deputy Company Secretary (9 month FTC Maternity Cover) – FTSE100

£Competitive, Birmingham (Remote/Hybrid)

We have been exclusively instructed by a FTSE100 engineering business in Birmingham as they look to urgently appoint a Deputy Company Secretary to cover maternity leave - reporting to a very credible Chief Legal and Risk Officer, Company Secretary. The role will be very broad, and the candidate will be expected to roll up their sleeves and do everything expected within a listed company secretariat. This is a great opportunity to be part of a well-performing business with a strong company culture. You will act as a trusted advisor to the Board, Executive Committee, and external stakeholders, ensuring compliance and supporting strategic governance initiatives.

Key Responsibilities are likely to include:

  • Ensure compliance with company law, UK corporate governance codes, and regulatory obligations including the Listing Rules, DTRs, and Market Abuse Regulation (MAR).
  • Manage statutory filings, FCA submissions, regulatory disclosures, and maintain insider lists in line with MAR requirements.
  • Coordinate board and committee governance, including meeting logistics, director onboarding, training, and annual performance evaluations.
  • Lead governance reporting, including drafting the Annual Report’s governance sections and overseeing the planning and execution of the AGM.
  • Support the Chief Legal & Risk Officer, Company Secretary on corporate transactions, share buybacks, and other strategic projects.

Critical Competencies for Success

  • CGI qualified ideally ACG or FCG.
  • Proven Deputy Company Secretary experience within a uk listed company.  
  • Strong understanding of corporate governance, company law compliance and regulatory requirements.
  • High level of professionalism, discretion and confidentiality.
