Senior Corporate Governance Manager – International (12-month FTC)
£80,000-£90,000 | London | Hybrid Working
We are working with a leading global insurance group as they seek to urgently appoint a Senior Corporate Governance Manager – International on a 12-month fixed-term contract. Reporting to the Deputy Company Secretary, this role will be instrumental in embedding consistent governance standards across the group’s international legal entities spanning the UK, Europe, Asia Pacific, and Latin America. This is a fantastic opportunity to join a well-established governance team that partners closely with legal, compliance, risk, and business stakeholders to deliver best-in-class governance solutions. The successful candidate will play a key role in driving strategic initiatives, managing corporate transactions, and enhancing operational processes across multiple jurisdictions. Key Responsibilities are likely to include:
- Lead and support international corporate transactions including capital restructures, M&A, dissolutions, dividends, and other legal entity actions.
- Oversee and enhance the use of governance platforms such as Diligent Entities and Diligent Boardbooks, including training and stakeholder engagement.
- Coordinate subsidiary board and shareholder meetings, including agenda setting, paper preparation, minute drafting, and director liaison.
- Collaborate with the US-based Corporate Secretary’s office on governance projects and BAU matters, identifying opportunities to improve efficiency and compliance.
- Act as a key point of contact for international governance queries, ensuring timely and accurate responses aligned with local legal and regulatory requirements.
Critical Competencies for Success:
- Strong understanding of subsidiary governance within large, complex international organisations.
- Advanced working knowledge of Diligent Entities and experience managing governance aspects of corporate transactions.
- Excellent communication and stakeholder management skills across multiple jurisdictions.
- Ability to work independently, manage competing priorities, and deliver high-quality outcomes under pressure.
- Previous experience in financial services or a listed environment is desirable.
