This is a fantastic opportunity to join a small, collegiate and well-regarded Secretariat team at Head Office in Farringdon. You’ll work closely with the Board, its Committees and the Executive Leadership Team, gaining exceptional exposure to senior decision-making and helping shape the governance framework for a truly international group.

Key Responsibilities

  • Support the Board, its Committees and the Executive Leadership Team with high-quality secretariat and governance services.
  • Manage the end-to-end Board and Committee process, including agendas, papers, minutes and actions.
  • Oversee compliance with the UK Listing Rules, DTRs and MAR, including drafting and submitting RNS announcements.
  • Lead subsidiary governance across the global group, ensuring robust frameworks and compliance.
  • Coordinate the Annual Report & Accounts and AGM process, liaising with internal stakeholders and external advisors.
  • Act as a key point of contact for Non-Executive Directors, supporting induction, training and ongoing engagement.
  • Manage the company’s share plans, registrars and related service providers.
  • Line manage and develop the Company Secretarial Assistant.
  • Deputise for the Group General Counsel & Company Secretary when required.

Experience and Qualifications

  • CGI-qualified (or equivalent) with at least 5 years’ experience in a UK listed or complex international environment.
  • Strong technical understanding of UK corporate governance, Listing Rules, DTRs and MAR.
  • Proven experience preparing board and committee materials, minutes and governance reporting.
  • Exposure to subsidiary governance and international entity management.
  • Confident communicator with senior stakeholders, including Board and Executive members.
  • Comfortable managing relationships with external advisors and service providers.

This position would suit an experienced Deputy Company Secretary seeking a fresh challenge, or a strong Senior Assistant ready to step up into a No.2 role with genuine exposure and autonomy.
