Key Responsibilities
Board Governance & Compliance
- Advise the Board, Chair, Committees and senior leaders on governance, regulatory and listed-company requirements.
- Lead the full Board/Committee cycle including agendas, papers, minutes and action tracking.
- Maintain statutory records and ensure full compliance with the Companies Act, Listing Rules and Corporate Governance Code.
- Oversee governance policies, Board evaluations, director development and induction.
- Coordinate governance sections of the Annual Report and work closely with internal teams and external advisers.
Legal & Regulatory
- Manage the Group’s legal affairs, maximising internal resource and engaging external counsel where required.
- Oversee subsidiary governance, contract governance and corporate record keeping.
- Support strategic projects including M&A, JV activity and restructuring.
- Ensure compliance with MAR, disclosure requirements, insider lists and share dealing codes.
- Draft and review legal documents, shareholder communications and regulatory announcements.
Share Schemes
- Oversee the administration and governance of Group share schemes.
- Support the Remuneration Committee on incentive plans and related governance.
Shareholder & Stakeholder Engagement
- Act as a key point of contact for shareholders, registrars and regulators.
- Lead preparation for the AGM and any shareholder meetings.
- Support investor-related disclosures and ensure they are timely, accurate and compliant.
Risk, Ethics & Compliance
- Support the Board and Audit Committee with governance and regulatory risk matters.
- Promote strong governance behaviours across the organisation.
- Manage policies relating to compliance, whistleblowing and conduct.
Experience & Qualifications
- Chartered Secretary (CGI/ICSA) and/or UK-qualified solicitor (or equivalent).
- Strong technical grounding in UK company law, the UK Corporate Governance Code and listed-company obligations.
- Experience operating in a listed environment; industrial or manufacturing exposure useful but not essential.
- Confident working with Boards and senior stakeholders in a lean head office setting.
- Strong drafting skills and experience with share schemes and listed-company reporting.
- Excellent organisational, communication and stakeholder-management skills.
