Interim Assistant Group Company Secretary

Exciting opportunity available within this global leisure organisation for a 7 month period 


Key Objectives:

Assist with ensuring all group companies comply with applicable legal and corporate governance obligations.
• Management of the process to ensure Company Secretarial records for UK entities are accurate and assisting with the management of internal and external resources responsible for maintaining overseas legal entity records.
• Assist with the management of the group insurance programme.

Main Responsibilities:

• Deputise for line manager in periods of absence
• Ensure that all Group Companies comply with applicable legal and corporate governance obligations
• Ensure the maintenance of Company Secretarial records for UK entities is accurate and timely
• Assist with the management of internal and external resources to ensure the Company Secretarial requirements for overseas entities are met
• Conduct annual overseas entity compliance review and ensure that any changes are reflected in the centrally held records
• Oversee the incorporation of new legal entities
• Oversee the production of Board and Committee agendas and liaise with relevant Board Members to ensure agendas are approved within agreed timescales
• Ensure the publication of all Board and Committee Meetings are within agreed timescales
• Act as the Secretary for Board Committee and Internal Committee Meetings as necessary and produce minutes of the meetings in a timey manner for review by the relevant Chairman
• Support internal departments with projects where company secretarial matters are involved such as tax re-structuring and re-financing
• Assisting with the management of the Group’s Intellectual Property Portfolio including liaising with trademark attorneys and internal marketing departments
• Assist with the management of the Group insurance programme, including liaising with insurance brokers
• Manage the provision of finance and HR data by liaising with internal colleagues to ensure the global insurance renewal timeframes are met
• Providing advice and support to other departments in relation to all areas managed by the department
• To assist with the management of external regulators and advisers, such as lawyers, auditors, trademark attorneys, insurance brokers and notaries

Skills, Experience & Qualifications:


• ICSA qualified with at least 5 years post qualification experience in a company secretarial role
• Knowledge of company corporate governance and compliance obligations
• A good working knowledge of UK statutory company secretarial compliance legislation
• Good working knowledge of Microsoft Office, Global Entity Management System and BoardWorks (or equivalent) applications
• Able to work within a team and possess strong verbal and written communication skills
• Able to demonstrate good negotiation and influencing skills
• Able to use own initiative and provide solutions together with an eye for detail
• An understanding of basic accounting practices
• A good understanding of Insurance risk and policies

• Liaise with other team members to ensure deliverables/output is in accordance with agreed standards and timeframes
• Consistently maintain accurate, logical files and records for ease of use
• Individual will be required to challenge the status quo and constantly seek to implement improvements to keep up with the growing needs of the business
• Effectively use techniques and systems to ensure correct and factual information is received and communicated to the department and operations

Complexity & problem solving


• Apply technical Company Secretarial knowledge and experience to core duties and unique or one off situations and queries with minimal supervision
• Manage high volume, multi-party, multi-jurisdiction Board and Shareholder Meetings and Resolutions within tight timeframes
• Produce complex and factual reports on demand from in-house systems

• Ability to demonstrate absolute confidentiality in relation to sensitive information and documentation
• To use appropriate communication skills when liaising with all internal and external departments to impart knowledge and information
• Always promoting a professional, technically knowledgeable, friendly and helpful image of the department
• To be proactive and keep up to date with company secretarial practices, corporate governance, data protection, operational licensing requirements, general insurance matters
• Main point of contact within the Group for information and advice on insurance and operational licence matters

• Expected to take decisions and manage responsibilities within the role largely autonomously but seeking guidance and instructions where necessary
• Expected to communicate technical and administrative information across the Group accurately, confidently and having regard to the commercial requirements of the relevant business and the Group as a whole
• Ability to liaise confidently with Main Board directors and external professional advisers and regulatory bodies
• Expected to provide proactive and business orientated advice within the areas of responsibility
