Join our Bailiwick of Guernsey branch for their upcoming CPD event at the Ocorian Guernsey Office on Wednesday 22 May 2024.

This CPD event is aimed to look at the key differences between Private Equity and Venture Capital, and how the Directors and Company Secretary need to adapt the Board governance to accommodate these individual asset classes.

Private Equity and Venture Capital are often confused as the same asset class, however for every similarity there is a material difference. The Board needs to be able to adapt its style, its key decision making and also how it structures its governance.

Rachel Gardiner, Director - Head of Prescribed Roles

Rachel Gardiner joined the Newgate Compliance team in January 2023 as the Technical Director - Head of Prescribed Roles. She has over 20 years’ experience in a wide range of strategic and regulatory roles across many industries having commenced her career in the UK, including having held the prescribed roles of Compliance officer, MLRO and MLCO in the Funds, Fiduciary, and Pensions sectors. Her previous roles have also included the delivery of compliance and financial crime training including the development of compliance teams and prescribed roles in Guernsey, Jersey, South Africa, Luxembourg, Mauritius and the UK.

Rachel is also a member of the Chartered Governance Institute holding a MSc in Corporate Governance from Bournemouth University and has a special interest in the emerging developments of regulation in ESG, sustainability and virtual currencies.

Luke Jager, Director

Luke is a Client Director at Ocorian, Guernsey, joining in August 2017. He is responsible for the relationship management and administration of a portfolio of private equity and venture capital funds, along with their related corporate vehicles. Luke works with a team of administrators focusing on the day-to-day administration of corporate and limited partnership structures, including the acquisition and disposal of target companies, oversight of corporate governance and other aspects of corporate activity.

Luke is a Private Equity and Real Estate fund administration specialist and has over 21 years financial industry experience, holding various management positions for large and mid size financial institutions in Guernsey. For the last 14 years, Luke has held directorships on a number of regulated and corporate vehicles, including Private Equity, Venture Capital, Real Estate/ infrastructure and Niche asset types such as Video Game and Film Royalty businesses. Luke holds a Diploma in Offshore Fund Administration.
