£Competitive, London (Hybrid – 1 day wfh)

We are working with a leading organisation in the real estate and development sector to appoint an experienced Assistant Company Secretary on a 12-month fixed-term contract based in London. Reporting to a very credible Deputy Company Secretary, this senior role will provide high-level company secretarial, meeting management, and corporate governance services across a large and complex group structure, including subsidiaries and joint ventures. This is an excellent opportunity to join a close-knit, professional team and play a pivotal role in supporting complex corporate transactions, maintaining governance standards, and ensuring compliance across multiple entities.

Key Responsibilities include:

  • Act as a senior point of contact for stakeholders, providing expert company secretarial and governance guidance.
  • Manage board and committee meetings for subsidiaries and JVs: agenda setting, paper preparation, minute drafting, and post-meeting actions.
  • Draft board and shareholder resolutions for corporate transactions and maintain statutory records via Diligent Entities.
  • Lead routine corporate transactions (incorporations, director changes) and assist on complex matters (JV restructuring, financings, capitalisations).
  • Ensure compliance with UK and Jersey filing requirements, including Companies House and stock exchange submissions.
  • Oversee statutory accounts approval and filing process, liaising with auditors on governance queries.
  • Maintain group structure charts and review corporate policies (AML, Modern Slavery, Sanctions).
  • Mentor junior team members and contribute to continuous improvement initiatives.

What We’re Looking For:

  • UK Corporate Governance Institute qualification (or equivalent) with at least 5 years’ post-qualified experience.
  • Strong technical knowledge of corporate law and governance best practice.
  • Experience with Diligent Entities and Diligent Boards (or similar platforms).
  • Excellent communication skills and ability to manage competing priorities under pressure.
  • Confident user of Microsoft Office, Visio, SharePoint, and digital signing tools.
  • Background in real estate, listed environments, or joint ventures desirable.
