Erika Percival, CEO | Beyond Governance
Erika has over 12 years’ experience in the governance field. Erika founded Beyond Governance having fast tracked her career to become one of the UK's youngest FTSE 250 board governance advisers at 32.
She was Group Company Secretary at Low & Bonar plc (FTSE SmallCap engineering company) and prior to that Group Company Secretary at The Restaurant Group plc (FTSE 250 hospitality company). Previously she worked at InterContinental Hotels Group plc (FTSE100 dual listed in New York), Premier Foods plc (FTSE250), ICAP plc (FTSE100 financial services) and KPMG.
She was part of two ‘class 1’ deal teams at Premier Foods plc that in 2011 sold their canning division to Princes for £182m and Quorn into private equity for £205m. In 2012 she was also part of the team who refinanced Premier Food’s £1.4bn debt and sold their pickles and vinegars business for £41m. She also supported on Low & Bonar’s £165m debt refinancing in 2018 and has over her career managed nine CEO/CFO successions and two Chairmen as well as activist investors forcing succession and demonstrating at AGMs. She now works with companies of all sizes to develop fit for purpose governance.
Erika is a moderator for The Chartered Governance Institute’s Board Dynamics module and Development of Strategy module for their professional qualification and is a regular speaker at governance and Institute of Director events. She is also a member of the IoD’s Centre for Corporate Governance Stakeholder Governance Working Group.
Erika has significant experience of working in Company Secretarial and Governance functions across the engineering/manufacturing, FMCG, hospitality and financial services industries.
Juliet Dearlove, Governance Director | Beyond Governance
Juliet has over 25 years' experience in the governance field and in 2021 was named as one of DMJ's Governance Hot 100 as a Governance trailblazer.
For ten years Juliet was a Company Secretary at JPMorgan Asset Management, with responsibility for The Mercantile Investment Trust plc, a FTSE 250 investment trust founded in 1884 with a market capitalisation of £2bn. She managed the administration of other investment trusts during her tenure, including JPMorgan Japanese Investment Trust plc, JPMorgan Global Emerging Markets Income Trust plc and the launch of JPMorgan Global Convertibles Income Fund Limited, the latter a Guernsey-domiciled fund listed in London.
More recently she has been Group Company Secretary and General Counsel at CVS Group plc, the acquisitive AIM-listed veterinary services group with a market capitalisation of £1.5bn, 500 veterinary practices in the UK, Ireland and Netherlands, and 7000 employees. She managed the Group’s LTIP and SAYE schemes and is especially proud to have persuaded the Board to increase the discount on the SAYE scheme from 10% to 20%, providing a significant benefit to all employee participants.
Juliet started her career at H R Owen plc, the USM-listed motor retail group, and as Company Secretary she was responsible for the Company’s transition to the FTSE All-Share index. She was named in the Sunday Times as the youngest officer of a listed company in October 1997.
In 2013 she joined the Board of Board Apprentice Global Limited as a NED and was instrumental in the launch of the Board Apprentice scheme. This provides a pipeline of new diverse board directors by enabling suitably qualified individuals to be placed with a host board in order to observe meetings for a period of one year. The Mercantile Investment Trust plc was, amongst other JPMorgan investment trusts, an early supporter of the scheme. It was an extremely innovative concept which continues to demonstrate its value, to the individuals and to the host boards.

Victoria Garvin, Governance Director | Beyond Governance
Victoria was Head of Subsidiary Governance at Aviva plc (FTSE 100), a composite insurer covering a range of insurance from life cover through to pet insurance. Victoria started at Aviva within their Life and Pensions business, a role that was extended to also include Secretariat support for the General Insurance business, before being asked to lead the global group-wide function overseeing the application of governance practices across the group.
Prior to joining Aviva, Victoria was the Company Secretary for Canada Life Group, the UK Division of The Great-West Life Co, a Canadian financial services group listed on the Toronto Stock Exchange. Previously she worked at Music Sale Group, a global music publisher as their Company Secretary.
Victoria has been a Trustee of a large Company Pension Scheme, a hybrid defined benefits and defined contribution scheme, during her role as a trustee the scheme underwent a triennial valuation and a detailed project on investment options.
Victoria is dynamic, versatile and commercially focused, with significant and broad knowledge of Company Secretarial and Governance functions spanning financial services and the media sector.
Victoria was named as one of Diligent Corporation’s Modern Governance ambassadors in 2019 and 2020.
Andrew Harvey-Wrate, Governance Consultant | Beyond Governance
Prior to joining Beyond Governance, Andrew was the Deputy Company Secretary for Persimmon plc (FTSE 100 House Builder). Previous to that he worked at Provident Financial plc (FTSE 100 Financial Services) as Assistant Company Secretary on an interim basis and was interim Deputy Company Secretary for International Personal Finance plc (FTSE All Share Financial Services). Prior to that he was at Rolls-Royce plc (FTSE 100 Aerospace and Defence) for over 17 years as Assistant Company Secretary and his main responsibility was subsidiary governance for over 300 global entities.
Andrew is experienced in managing small CoSec teams, drafting and reviewing documentation, has knowledge of the legal and regulatory requirements of companies in the UK and overseas, corporate governance and the listing rules.
Andrew is an Associate of the Institute of Company Secretaries and Administrators.
