Mixed approach to COVID-19 salary sacrifice and dividends, poll finds

According to a poll out today from The Chartered Governance Institute UK & Ireland and governance recruitment specialist The Core Partnership, companies and other organisations are taking a mixed approach to salary sacrifice during the Coronavirus pandemic. Some 41% of executive directors have taken a voluntary reduction in base salary (50% have not), 31% of non-executive directors have taken a reduction (56% have not) and 31% of senior managers on the management board have taken a reduction while 60% have not. There is less disparity in terms of the amount of the reduction with the majority of people across all three groups taking a 20% cut. Read more

The Chartered Governance Institute has today published updated guidance about company AGMs and the impact of Covid-19, which reflects the Government ban on public gatherings of more than two people. Prepared by Clifford Chance LLP, Freshfields Bruckhaus Deringer LLP, Linklaters LLP, Slaughter and May and The Chartered Governance Institute, the guidance offers advice on how listed companies incorporated under the UK Companies Act might implement contingency plans in light of the compulsory ‘Stay at Home Measures’ that the British Government has introduced to combat the spread of Coronavirus since the initial guidance was first published on 17 March. Guidance about AGMs and impact of Covid-19 issued

The Chartered Governance Institute and Slaughter and May have today published guidance about company AGMs and the impact of Covid-19 in order to support British businesses and their shareholders during the coronavirus pandemic. Supported by the FRC, GC100, the Investment Association and the Quoted Companies Alliance, and reviewed by the Department for Business, Energy and Industrial Strategy, the guidance suggests that companies consider their contingency plans in light of the spread of Covid-19. FTSE350 boards are displaying more confidence in the economy, with the results of a survey published today by The Chartered Governance Institute showing a twofold increase in the number of respondents believing that the global economic outlook will improve in the coming year and a fivefold increase in the number believing that the UK economy will improve. This is not yet enough to encourage greater capital investment, however, despite fears lessening over Brexit, with fewer companies now rating an exit as damaging and the overwhelming majority (81%) not currently considering relocating their head office or listing. Organisations still not providing enough support on mental health, poll finds

Organisations are still failing to provide enough support to staff in terms of their mental health according to a poll out today from The Chartered Governance Institute and governance recruitment specialist The Core Partnership. Fewer than half (45%) of respondents to the poll believe that their organisation does enough to support staff’s mental health, with over a quarter (26%) stating that their organisation does not do enough. A similar poll a year ago found parallel results: 49% of respondents believed that their organisation did enough to support employees’ mental well-being and 31% believed that their organisation did not. The Chartered Governance Institute UK & Ireland has today welcomed the publication by the Financial Reporting Council (FRC) of the UK Stewardship Code 2020 (the Code), believing that the revised version reflects the changing needs of asset owners and public expectations. The governance body believes, however, that the increased focus on reporting to asset owners may have an impact on the quality and quantity of engagement with companies and the emphasis on ESG issues risks provoking more ‘policy statements’ than the ‘outcomes and effectiveness’ focus recommended by the Kingman review. The FRC and its successor will need to monitor asset manager reporting and activity to ensure that this is not the case, the Institute stresses. Read more

FTSE gloomy about economy but fears lessen over Brexit, Boardroom Bellwether survey finds

Boards lack confidence in the economy, with 69% of respondents to a survey of FTSE 350 companies published today by The Chartered Governance Institute believing that the UK economy will decline in the coming year. Just 7% expect an improvement and only 10% expect an improvement in the global economy. Despite the gloom, fears appear to be lessening over Brexit with fewer companies now rating an exit as damaging. UK PLC is on the fence about the effect of no-deal Brexit, however, with 40% believing it would be damaging, 40% believing it would not and 20% unsure. Read more
Organisations’ understanding of data not greatly improved by GDPR, poll finds

The introduction of GDPR has not yet led to a substantial improvement in organisations’ understanding of their data according to a poll out today from ICSA: The Governance Institute and recruitment specialist The Core Partnership. The poll reveals that the majority of organisations surveyed (42%) feel that their understanding of data has stayed the same since GDPR was introduced. Some 39% of respondents believe that their understanding has improved significantly, however, while a further 17% think that is has improved slightly. Read more

Board level action on employee wellbeing and mental health inadequate, poll finds

Fewer than half of the organisations polled by ICSA: The Governance Institute and governance recruitment specialist The Core Partnership have considered employee wellbeing and mental health at board level. Just 45% of boards have considered these issues, 34% have not and the remaining 21% of respondents were unsure if their board had or not. Furthermore, when questioned as to whether or not their organisation does enough to support employees’ mental wellbeing, fewer than half (49%) said ‘yes’ and just under a third (31%) said ‘no’. The jury’s out about annual reports, new poll finds

Companies are undecided about whether the quantity of information contained in annual reports is a good or a bad thing according to a survey of governance professionals by ICSA: The Governance Institute and recruitment specialist The Core Partnership. Some 39% of respondents feel that companies are required to disclose too much information, while a similar amount (38%) disagree and 23% are unsure. Despite this, a clear majority of respondents (78%) believe that annual reporting is still a useful exercise for stakeholders, with only 7% believing it is not and 15% unsure. Read more
